1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access and use of the website, desktop/mobile software, APIs, cloud platform and all related services operated by winmail.io (“we”, “us”, “our”) at domain winmail.io (collectively the “Services”).
By registering an account, downloading software, accessing the website or using any feature of our Services, you fully agree to these Terms and our Privacy Policy (incorporated herein by reference). If you act on behalf of an organization, you warrant you hold authority to bind that entity to these Terms. If you disagree with any clause, you may not use our Services.
2. Software License & Intellectual Property
We grant you a limited, non-exclusive, non-transferable, revocable license to download, install and use our software solely for your internal business or personal use, subject to subscription limits.
All copyright, trademark, patent, trade secret and other intellectual property rights in the Services, source code, UI, logo, documentation, AI models and backend infrastructure remain exclusively owned by us.
You may not reverse engineer, decompile, disassemble, copy, modify, distribute, resell or create derivative works of our software without prior written license.
User-generated content (files, emails, prompts, data uploaded by you) remains your ownership; we obtain a limited license to process, store and transmit such content only to deliver Services to you.
3. Acceptable Use Policy
You agree not to:
Use the Services for spam, phishing, malware distribution, fraud, hacking or illegal activities;
Circumvent access control, subscription limits, paywalls or anti-abuse systems;
Overload, attack, disrupt or perform penetration testing on our servers without written permission;
Harvest, scrape or crawl our platform to collect user data, account information or internal resources;
Violate third-party copyright, privacy laws or data protection regulations via our Services;
Deploy the Services to process sensitive regulated data without additional enterprise compliance agreements.
4. Billing and Refunds
Paid software is billed based on the number of users; the specific billing method is determined by the option selected at checkout. All fees are denominated in USD or EUR and are inclusive of taxes unless otherwise stated.
We may adjust prices, providing at least 30 days' advance notice on our website. Continued use of the service following a price change constitutes acceptance of the change.
Refund requests submitted within 7 days of purchase are reviewed on a case-by-case basis. No refunds are issued for partial license periods or for accounts terminated due to policy violations.
Failure to make payments may result in service throttling, suspension, or permanent account termination.
5. Third-Party Integrations
Our Services may link to or integrate with third-party APIs, cloud storage, payment gateways and external tools. We do not control third-party platforms and assume no liability for their terms, privacy practices or service quality. You use all third-party integrations at your own risk.
6. Service Availability & Disclaimers
We strive to maintain stable uptime but do not guarantee uninterrupted, error-free service. Maintenance, upgrades, network failures or force majeure events may cause temporary outages.
THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We disclaim all warranties of merchantability, fitness for a specific purpose, non-infringement and data security beyond stated industry-standard safeguards.
We do not warrant that the software will block all spam, phishing or malicious content (for anti-spam mail systems).
7. Limitation of Liability
To the maximum extent permitted by applicable law:
We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost business data, revenue loss or reputation harm arising from your use of Services;
Our total aggregate liability for all claims related to these Terms shall not exceed the total amount you paid to us within the prior 12 months.
8. Account Suspension & Termination
We reserve the right to temporarily suspend or permanently terminate your account immediately without refund if you breach these Terms, violate laws, or abuse our platform.
You may terminate your account at any time via account settings or support email. After termination, we retain your data per our Privacy Policy’s data retention rules for statutory compliance, then delete or anonymize it.
9. Modifications to Terms
We may revise these Terms at any time. Material changes will be notified via website posting or account email at least 14 days in advance. Your continued use of Services after the effective date of revised Terms means you accept the updates. If you reject revised terms, you must stop using the platform.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of State of California.
Any disputes arising from the Services shall first be resolved via friendly negotiation. If negotiation fails, disputes shall be submitted to the courts of [Local Jurisdiction].
